Event Participant Terms and Conditions –  Fund Seminar B.V. 

Article 1. Definitions
In these Participant Terms and Conditions, the following terms shall have the following meanings:
1.        Fund Seminar B.V.: the company as defined in Article 2 of these Participant Terms and Conditions;
2.        Participant(s): any natural or legal person acting in the course of a profession or business who has registered for an Event, purchased a ticket for it, or otherwise participates in the Event;
3.        Event(s): any business event organized by Fund Seminar B.V., including, but not limited to, seminars, conferences, roundtables, award ceremonies, dinners, and networking events;
4.        Ticket(s): the (digital) proof of admission to an Event;
5.        Platform: the online registration and ticketing platform used by Fund Seminar B.V. for the relevant Event, as further specified in the event communications;
6.        Agreement(s): the agreement(s) entered into between the Parties regarding the Participant’s participation in an Event;
7.        Party(ies): Fund Seminar B.V. and the Participant collectively or each as an individual contracting party;
8.        Third Party(ies): natural persons or legal entities other than Fund Seminar B.V. and the Participant;
9.        In Writing/Written: communication via email or mail.

Article 3. General Provisions
1.        These Participant Terms and Conditions apply to all offers made by Fund Seminar B.V., orders and registrations by the Participant,              and to any Agreement entered into.
2.       These Participant Terms and Conditions will be made available to the Participant electronically before or at the time of registering              for a Ticket.
3.       By registering for or purchasing a Ticket, the Participant declares that they have read these Participant Terms and Conditions and              agree to them.
4.       The applicability of any other (general) terms and conditions is expressly excluded, unless the Parties have agreed otherwise in                     Writing.
5.        Deviations from or additions to these Participant Terms and Conditions are valid only if they have been expressly agreed upon In                 Writing by the Parties.
6.        If Fund Seminar B.V. does not consistently require strict compliance with these Participant Terms and Conditions, this does not                     mean that the provisions thereof are inapplicable or that Fund Seminar B.V. would in any way lose the right to require strict                           compliance with the provisions of these Participant Terms and Conditions in other cases. 
7.        If any provision of these Participant Terms and Conditions proves to be void, voidable, or otherwise unenforceable, the remaining                 provisions shall remain in full force and effect. The Parties shall replace the provision in question with a provision that approximates the original intent as closely as possible.
8.        If and to the extent that, based on principles of reasonableness and fairness—or the unreasonably onerous nature of a provision—any provision of these Participant Terms and Conditions cannot be invoked, the provision in question shall, in any event, be given a meaning that corresponds as closely as possible to its original content and intent, so that it may be invoked. 
9.        If the Participant is entitled to a refund and Fund Seminar B.V. does not have the bank account number to which the refund can be paid, the Participant must provide this bank account number within ten (10) business days of a request from Fund Seminar B.V.. Failure to do so will result in the forfeiture of the right to a refund. 

Article 4. The Offer
1.        If an offer has a limited period of validity or is subject to (certain) conditions, this will be explicitly stated in the offer.  
2.        The offer contains a complete and accurate description of the Events being offered. The description is sufficiently detailed to enable the Participant to properly evaluate the offer.
3.        Obvious errors or mistakes in the offer are not binding on Fund Seminar B.V.. 

Article 5. Registration and Tickets
1.        Registration for an Event takes place via the Platform designated by Fund Seminar B.V.;
2.        A registration is only final after Fund Seminar B.V. has confirmed it In Writing or electronically.
3.        Fund Seminar B.V. reserves the right to refuse, cancel, or invalidate a registration without providing a reason, including but not limited to the following cases:
a.        The Participant has provided incorrect or incomplete information;
b.        The maximum number of Participants for the Event has been reached;c.        The Participant is not acting in the course of a profession or business;
d.        In Fund Seminar B.V.’s opinion, the Participant is a competitor of Fund Seminar B.V..
4.        Registration by a person on behalf of or for the benefit of his or her employer or client is considered a business registration.
5.        Tickets are issued personally and are valid only for the registered Participant. Fund Seminar B.V. is entitled to verify the Participant’s identity at the entrance.
6.        A Ticket may only be transferred to a Third Party with the prior Written consent of Fund Seminar B.V.. Fund Seminar B.V. may impose conditions on an authorized transfer or name change.
7.        It is not permitted to resell Tickets commercially, auction them, offer them through resale platforms, or otherwise use them for commercial purposes without the prior Written consent of Fund Seminar B.V.. Fund Seminar B.V. is entitled to declare such Tickets invalid without any obligation to refund amounts paid.
8.        Fund Seminar B.V. reserves the right to cancel or invalidate registrations or Tickets in the event of fraud, abuse, technical errors, payment issues, or other circumstances that, in Fund Seminar B.V.’s judgment, compromise the validity of the registration or the Ticket.
9.        If a Ticket is part of a promotion, invitation, partner agreement, or sponsorship arrangement, additional terms and conditions may apply. These will be disclosed prior to registration or issuance of the Ticket.
10.  Participation in an Event entitles the holder solely to access to that Event and does not confer any entitlement to future events, services, benefits, or rights, unless expressly agreed otherwise In Writing between the Parties. 

Article 6. Prices and Payment
1.        If the Participant is required to pay a price for a Ticket, this price will be stated in the offer and/or the registration form.
2.        All prices are exclusive of VAT and other government-imposed taxes, unless Fund Seminar B.V. expressly states otherwise.
3.        Payment must be made in the manner and within the timeframe specified during the registration process or in the registration confirmation.
4.        The Participant is obligated to pay the amounts due in full and on time. Any Third Party payment fees shall be borne by the Participant, unless expressly stated otherwise.
5.        If the Participant fails to meet their payment obligations on time, Fund Seminar B.V. is entitled to suspend the registration, declare the Ticket invalid, and/or deny access to the Event until full payment has been received.
6.        If payment is not received after a payment deadline has passed, the Participant is automatically in default. In that case, Fund Seminar B.V. is entitled to charge statutory commercial interest and reasonable extrajudicial collection costs, to the extent permitted by law. 

Article 7. Participant’s Obligations and Admission Policy
1.        The Participant is required to comply with the house rules of the event venue and to follow the instructions of Fund Seminar B.V., the venue, or security personnel.
2.        Fund Seminar B.V. is entitled to deny a Participant entry or remove them from the Event if the Participant:
a.         behaves inappropriately, disrupts order, or fails to follow instructions;
b.         endangers the safety or well-being of other Participants, speakers, or staff;
c.         is under the influence of alcohol or other substances that affect behavior;
d.         does not meet the admission requirements or refuses to undergo an identity check.
3.        Fund Seminar B.V. maintains a zero-tolerance policy regarding discrimination, harassment, threats, aggression, sexual harassment, and other inappropriate behavior. Fund Seminar B.V. is entitled to immediately remove Participants who engage in such behavior from the Event
4.        In the situations mentioned in the preceding paragraphs, Fund Seminar B.V. is not obligated to refund the Ticket price to the Participant.
5.        Fund Seminar B.V. is entitled to deny a Participant entry or remove them from the Event if the Participant (without permission):
a.        makes audio or video recordings of presentations, panel discussions, or other program components; or
b.        distributes or displays promotional materials.
6.        Fund Seminar B.V. may establish additional house rules or conditions of participation for a specific Event.
These shall form an integral part of the Agreement as soon as they are communicated to the Participant. 

Article 8. Cancellation by the Participant
1.        The Participant may cancel the registration/Ticket free of charge up to and including 10 (ten) business days before the date of the Event. Cancellation must be submitted In Writing to Fund Seminar B.V. at . The effective date is the date on which Fund Seminar B.V. receives the cancellation notice.
2.        In the event of cancellation between 10 (ten) and 5 (five) business days before the Event, the Participant is liable for an administrative fee of 25% (twenty-five percent) of the Ticket price, with a minimum of €50 (fifty euros) (excluding VAT). For a free Event, the fee is €50 (fifty euros) (excluding VAT).
3.        If cancellation occurs within 5 (five) business days before the Event, the Participant is liable for the full ticket price, or, in the case of a free Event, a fee of €75 (seventy-five euros) (excluding VAT).
4.        In the event of a no-show (failure to cancel and failure to attend the Event), the Participant is liable for the full Ticket price. For a free Event, a fixed fee of €100 (one hundred euros) (excluding VAT) applies.
5.        For paid Tickets, the applicable administrative fee or the remaining balance will be offset against or deducted from the ticket price already paid. Any remaining amount will be refunded to the Participant within 14 (fourteen) days.
6.        Fund Seminar B.V. reserves the right to refuse registrations for future Events if a Participant has (repeatedly) been absent from previous Events without providing timely notice of cancellation. 

Article 9. Cancellation, Rescheduling, or Modification by Fund Seminar B.V.
1.        Fund Seminar B.V. reserves the right to cancel, reschedule, or modify the content of an Event, including, but not limited to, due to insufficient registrations from Participants or a force majeure situation as referred to in Article 10 of these Participant Terms and Conditions.
2.        In the event of cancellation by Fund Seminar B.V., the Participant will be refunded the ticket price paid (excluding any transaction fees charged by the Platform) within 14 (fourteen) business days. Other damages or costs incurred by the Participant, such as travel and accommodation expenses, will not be reimbursed.
3.        If the date or location of the Event is changed, the Ticket remains valid for the new date or location. In that case, the Participant has the right to cancel the Ticket and receive a refund of the Ticket price, provided that cancellation is submitted In Writing within 5 (five) business days of receiving notice of the change.
4.        Changes to the program, the speakers, the format, or the content of the Event do not entitle the Participant to cancellation or a refund. Fund Seminar B.V. strives to ensure the quality and standard of the program, even after any changes.
5.        Speakers are responsible for the content of their own presentations. Fund Seminar B.V. is not liable for any inaccuracies, opinions, or viewpoints expressed by speakers. 

Article 10. Force Majeure
1.        In addition to the provisions of Article 6:75 of the Dutch Civil Code, a failure by Fund Seminar B.V. to fulfill any obligation toward the other Party shall not be be attributed to Fund Seminar B.V. in the event of a circumstance beyond Fund Seminar B.V.’s control, which wholly or partially prevents the fulfillment of its obligations toward the Participant or as a result of which the fulfillment of its obligations cannot reasonably be expected of Fund Seminar B.V.. Such circumstances include pandemics, epidemics, government measures, extreme weather conditions, fire, strikes, failure of utilities or internet connections, terrorism or terrorist threats, death or sudden serious illness of keynote speakers, and unavailability of the event venue due to circumstances beyond Fund Seminar B.V.’s control.
2.        In the event of force majeure, Fund Seminar B.V. has the right to suspend performance of the Agreement or, if the force majeure situation continues for more than 30 (thirty) days or performance remains permanently impossible, to cancel the Event without being liable for damages to the Participant.
3.        In the event of cancellation due to force majeure, the Participant will be refunded the ticket price paid in accordance with Article 9, paragraph 2, of these Participant Terms and Conditions for Participants. In such a case, Fund Seminar B.V. also has the right to offer an alternative date or location for the Event.
4.        Cancellation by Fund Seminar B.V. after the start of the Event due to force majeure does not entitle the Participant to a refund. 

Article 11. Liability
1.        Fund Seminar B.V. is liable only for direct damages that are the direct result of an attributable failure to fulfill its obligations or of a tortious act.
2.        Fund Seminar B.V.’s total liability is, in all cases, limited to the amount paid by the Participant for the Event in question. If and to the extent that the damage is covered by Fund Seminar B.V.’s liability insurance, liability is limited to the amount actually paid out by the insurer, plus any applicable deductible.
3.        Fund Seminar B.V. is not liable for indirect damages, including but not limited to consequential damages, lost profits, lost savings, loss of revenue, reputational damage, loss of data, or damages resulting from business interruption.
4.        Fund Seminar B.V. is also not liable for:
a.        loss, theft, or damage to Participants’ property during or in connection with an Event;
b.        damages caused by the acts or omissions of partners, speakers, venues, caterers, suppliers, security companies, or other Third Parties engaged by Fund Seminar B.V. or involved in the Event;
c.        damages resulting from technical malfunctions of websites, registration platforms, ticketing systems, means of communication, internet connections, or other technical facilities;
d.        damages caused by or arising from statements, advice, presentations, opinions, or expressions made by speakers, partners, or other participants;
e.        damages arising from the cancellation, rescheduling, or modification of an Event in accordance with these Participant Terms and Conditions;
f.           damages resulting from denial of admission due to failure to pay amounts due or failure to pay them on time.
5.        Participation in an Event is entirely at the Participant’s own risk.
6.        The Participant is liable for any damage he or she causes to Fund Seminar B.V., other participants, partners, venues, or Third Parties. The Participant indemnifies Fund Seminar B.V. against any claims by Third Parties arising from the Participant’s acts or omissions during or in connection with the Event.
7.        The limitations and exclusions of liability set forth in this article do not apply to the extent that the damage results from willful misconduct or gross negligence on the part of Fund Seminar B.V. or to the extent that exclusion of liability is not permitted under mandatory law. 
Article 12. Privacy and Data Processing
1.        Fund Seminar B.V. processes Participants’ personal data in accordance with applicable privacy laws, including the General Data Protection Regulation (GDPR).
2.        Personal data is processed for purposes related to the organization, registration, execution, and handling of Events, as well as for other purposes as described in Fund Seminar B.V.’s privacy statement.
3.        Fund Seminar B.V. may use Third Parties in the provision of its services, including registration, ticketing, communication, and payment platforms. To the extent that these Third Parties process personal data on behalf of Fund Seminar B.V., , appropriate arrangements are made in accordance with applicable privacy laws.
4.        The processing of personal data is governed by Fund Seminar B.V.’s privacy statement. This statement outlines, among other things, what personal data is processed, the purposes for which it is used, the legal bases for the processing, how long the data is retained, and the rights of data subjects.

Article 13. Intellectual Property
1.        All intellectual property rights relating to the Event, including but not limited to the program, the event name, the event concept, presentations, texts, images, videos, recordings, materials, documentation, websites, and other content, are owned by Fund Seminar B.V., its partners, speakers, or other rights holders.
2.        Nothing from the Event or the materials provided in connection with it may be reproduced, published, distributed, modified, exploited, or otherwise used without the prior Written consent of the rights holder, unless permitted by law.3.        Presentations, handouts, documents, or other materials made available by Fund Seminar B.V. may be used solely for internal reference and not for commercial purposes, unless the relevant rights holder has expressly granted permission to do so.4.        Participants retain ownership of their own intellectual property rights. To the extent that a Participant provides a company name, trade name, brand name, or logo to Fund Seminar B.V. in connection with registration for or participation in an Event, the Participant grants Fund Seminar B.V. a non-exclusive and royalty-free right to use this information for reference, promotional, and marketing purposes in relation to the Event and the services provided by Fund Seminar B.V..5.        If a Participant objects to the use of their company name, trade name, or logo as referred to in the preceding paragraph, this objection may be communicated In Writing to Fund Seminar B.V.. Fund Seminar B.V. will process such a request within a reasonable period of time. Article 14. Governing Law  Agreements between the Parties are governed exclusively by Dutch law.  Disputes between the Parties shall, as far as possible, be resolved through amicable consultation. All disputes between the Parties shall be settled exclusively by the competent court in the judicial district where Fund Seminar B.V. is located. Article 15. Survival  The provisions of these Participant Terms and Conditions and the Agreement that are intended to remain in effect after the termination of the Agreement shall remain in full force and effect after the termination of the Agreement.   Article 16. Amendments or AdditionsFund Seminar B.V. is entitled to unilaterally amend or supplement these Participant Terms and Conditions. In that case, Fund Seminar B.V. will notify  the Participant of the amendments or supplements in a timely manner.   There shall be a minimum of 30 (thirty) days  between this notification and the effective date of the amended or supplemented Participant Terms and Conditions.
